Referral Reward Terms

Effective 6 August 2026 Nonstop Talent Limited

These Referral Reward Terms govern the Nonstop Talent Trusted Introductions programme.

Key commercial structure

Reward follows real, paid outcomes.

The programme is operated by Nonstop Talent Limited, trading as Nonstop Talent, of Level 8, 139 Quay Street, Auckland 1010, New Zealand.

A person agrees to these Terms only through a process requiring affirmative acceptance of the applicable version, or by accepting a Referral Confirmation in writing. Making an introduction without that acceptance does not create a contract or Reward entitlement.

Rewards are subject to written acceptance, cleared client payment and all requirements in these Terms. All amounts include GST, if any. A promotional summary does not create an earlier or broader entitlement.

Purpose of the programme

The programme recognises people who create genuine new access to organisations that may need technology recruitment services.

It is not a payment-for-contact-details scheme, an employment agency arrangement, an affiliate marketing programme or an invitation to send unsolicited referrals.

A Referral Reward becomes payable only when:

  1. Nonstop Talent accepts the Referral in writing and issues a Referral Confirmation;
  2. the Referrer has accepted these Terms;
  3. the Referred Organisation validly accepts Nonstop Talent's applicable client service terms before the Activation Deadline;
  4. the applicable Stage One or Stage Two payment milestone is achieved;
  5. Nonstop Talent receives and retains the required client payment in cleared funds; and
  6. all other requirements in these Terms are satisfied.

Making an introduction, arranging a meeting, signing terms, beginning a search or starting a placement does not by itself create a payment entitlement.

Definitions

In these Terms:

Accepted Referral
a Referral that Nonstop Talent has expressly accepted in a Referral Confirmation.
Activation Deadline
the date 12 months after the Referral Confirmation date. The Client Services Terms Signed Date must occur on or before this date unless Nonstop Talent extends it in writing.
Approved Hours
hours actually worked by a placed contractor, correctly recorded, approved by the Referred Organisation and accepted by Nonstop Talent for invoicing.
Approved Referral Scope
the Referred Organisation legal entity, applicable country or geographical market, Technology Roles and any express limitations identified in the Referral Confirmation. Unless the Referral Confirmation expressly narrows the scope, it applies across hiring managers and business units within that legal entity.
Associated Person
in relation to a Referrer, the Referrer's spouse, civil union partner, de facto partner, parent, child, business partner, nominee, controlled company or trust, or another person or entity acting at the Referrer's request, direction or for the Referrer's benefit.
Business Day
a day other than a Saturday, Sunday or public holiday in Auckland, New Zealand.
Candidate
a person considered for permanent employment or a contracting engagement with a Referred Organisation.
Client Payment Condition
Nonstop Talent having received and retained in cleared funds all client payments required for the applicable Reward milestone, with no outstanding refund, credit, chargeback, reversal, write-off or material dispute.
Client Services Terms Signed Date
the earliest date on or after the Referral was submitted on which an authorised representative of the Referred Organisation unambiguously accepts in writing either: (a) Nonstop Talent's general recruitment terms covering Technology Role permanent hiring; or (b) where no such general terms have been accepted after the Referral, Nonstop Talent's first contractor-supply or contractor-assignment terms for a Contractor Placement arising from the Referral. Where valid general recruitment terms were accepted before the Referral and remain in force, the Client Services Terms Signed Date is the date after the Referral was submitted on which the Referred Organisation first gives, and Nonstop Talent accepts in writing, a Qualifying Search instruction under those existing terms. A date before the Referral was submitted cannot start the Referral Reward Period. Acceptance by informal discussion, receipt of a Candidate profile, attendance at a meeting or conduct alone does not establish this date unless Nonstop Talent confirms it in writing.
Connected Referrer
a Referrer where the Referrer or an Associated Person is currently, was during the 12 months before the Referral, or reasonably expects to become employed or engaged by, advising, representing, supplying services to, or able to influence hiring, procurement, vendor selection or supplier recommendations for the Referred Organisation.
Contractor Placement
a contractor introduced or supplied by Nonstop Talent who starts an engagement with a Referred Organisation.
Earned Reward
a Reward for which every applicable condition in these Terms has been satisfied and which Nonstop Talent has approved in writing, acting reasonably.
Eligible Placement
each of the first three Permanent Placements or Contractor Placements that starts during the Referral Reward Period, is made with the Referred Organisation under Nonstop Talent's applicable client terms, falls within the Approved Referral Scope, results directly and predominantly from the Accepted Referral, satisfies the applicable Stage Two milestone and is not excluded under these Terms.
Longstop Date
the date 18 months after the Client Services Terms Signed Date, unless Nonstop Talent extends it in writing or the parties expressly agree otherwise.
Paid Week
a calendar week during which the contractor remains actively engaged and performs Approved Hours, and for which Nonstop Talent subsequently receives and retains full cleared payment of the relevant client invoice. A partial or interrupted week does not count unless Nonstop Talent confirms otherwise in writing.
Permanent Placement
a Candidate introduced by Nonstop Talent who accepts and starts permanent employment with a Referred Organisation.
Priority Recovery Search
a protected search for a live role that was previously advertised or worked on unsuccessfully and that meets section 10.2.
Qualifying Search
a search accepted by Nonstop Talent that is either an exclusive or retained search meeting section 10.1, or a Priority Recovery Search meeting section 10.2.
Referral
a direct introduction or referral of a potential hiring decision-maker or organisation to Nonstop Talent.
Referral Confirmation
Nonstop Talent's written notice accepting a Referral and recording the Referrer, Referred Organisation, Approved Referral Scope, acceptance date, Activation Deadline, maximum Reward, applicable Terms version and any special conditions.
Referral Reward Period
the 12-month period beginning on the Client Services Terms Signed Date and ending at 11:59 pm Auckland time on the day immediately before the first anniversary of that date.
Referral Reward or Reward
a cash payment, business credit or charitable donation approved under these Terms.
Related Entity
a parent, subsidiary, affiliate, associated company, joint venture, franchisee or other entity under common ownership or control with the Referred Organisation.
Referred Organisation
the legal entity identified in the Referral Confirmation, excluding Related Entities unless expressly included.
Referrer
the person or entity recorded by Nonstop Talent as the source of an Accepted Referral.
Technology Role
a role whose primary responsibilities relate to information technology, software, digital, data, artificial intelligence, cyber security, cloud, infrastructure, enterprise systems, technology product, technology delivery, or project, programme, business analysis or change work primarily connected with a technology initiative, as reasonably determined by Nonstop Talent.
Terms
these Referral Reward Terms, together with written conditions in the Referral Confirmation and any Reward Period Confirmation.

Contract formation and acceptance

These Terms are an invitation to submit a Referral and are not an offer or unconditional promise to pay a Reward.

No contract, Accepted Referral or potential Reward entitlement arises unless:

  1. Nonstop Talent issues a Referral Confirmation;
  2. the Referral Confirmation identifies the Approved Referral Scope and maximum Reward;
  3. the Referrer has received or can access the applicable version of these Terms; and
  4. the Referrer affirmatively accepts that version through the referral form or in writing.

Nonstop Talent may accept or reject any Referral, acting reasonably, and is not required to accept a Referral merely because a form, email, meeting or introduction has been received.

Within 10 Business Days after the Client Services Terms Signed Date is established, Nonstop Talent will send the Referrer a written Reward Period Confirmation recording: (a) the Client Services Terms Signed Date; (b) the Referral Reward Period start and end dates; (c) the Longstop Date; (d) the remaining company-level Reward cap; and (e) any special limitations applying to the Approved Referral Scope. The objective dates under these Terms are not extended solely because the confirmation was delayed, provided Nonstop Talent can reasonably evidence the relevant Client Services Terms Signed Date. A later hiring instruction, hiring-manager change, vacancy, contractor agreement, extension or renewal does not restart or extend those dates.

Who may participate

A Referrer must:

  1. be at least 18 years old;
  2. provide accurate and complete information;
  3. have authority to agree to these Terms;
  4. comply with applicable laws, contracts, policies and professional duties;
  5. disclose every actual, potential or perceived conflict of interest;
  6. have permission to make the introduction and share any personal information supplied;
  7. not be prohibited from receiving the selected form of Reward; and
  8. provide evidence reasonably requested by Nonstop Talent.

Nonstop Talent employees are not eligible unless a separate internal arrangement is approved in writing.

A person acting for a recruitment agency, labour-hire company or competing recruitment business is not eligible unless Nonstop Talent agrees otherwise in writing before accepting the Referral.

Cash Rewards are ordinarily available only to New Zealand recipients with a New Zealand bank account. Nonstop Talent may decline or require another Reward form where overseas tax, sanctions, privacy, banking or compliance requirements make payment impractical or inappropriate.

What qualifies as a Referral

A Referral must ordinarily involve a direct, warm introduction by email, LinkedIn or another agreed communication method, with the referred person aware of who is being introduced and why.

A website submission may be considered only where the Referrer confirms that the referred person has authorised the disclosure and contact. Nonstop Talent may require the Referrer to make the introduction before assessing it.

A Referral does not qualify merely because the Referrer:

  • identifies a publicly advertised vacancy;
  • supplies a company or person's name without a meaningful introduction;
  • provides information copied from a public website, database or social network;
  • provides cold, purchased, scraped or unlawfully obtained contact details;
  • forwards mass-marketing material;
  • introduces a recruitment agency rather than the hiring organisation;
  • refers a Candidate without introducing a new hiring organisation;
  • refers an advertised role without genuine access to the hiring owner; or
  • provides information deceptively or in breach of confidence.

Nonstop Talent may accept another form of Referral where it reasonably considers that the Referrer created genuine new access or a meaningful commercial opportunity.

A Referral must be new

A Referral will normally qualify only where the Referred Organisation, relevant relationship and opportunity are not already:

  • a current Nonstop Talent client;
  • subject to active recruitment or contractor-supply terms with Nonstop Talent;
  • in an active sales, hiring or commercial discussion with Nonstop Talent;
  • previously referred and accepted;
  • independently introduced to Nonstop Talent before submission; or
  • being actively pursued by Nonstop Talent during the preceding six months.

A dormant relationship does not automatically disqualify a Referral. Nonstop Talent may accept it where the introduction materially reopens the relationship or creates a genuinely new opportunity.

Silence, acknowledgement, a meeting, a conversation, work performed or completion of a website form does not amount to acceptance.

Company-based Approved Referral Scope

The programme is company-term based. Unless the Referral Confirmation expressly states a narrower scope, the Approved Referral Scope applies to Technology Roles across hiring managers and business units within the named Referred Organisation legal entity during the Referral Reward Period.

An Eligible Placement does not need to be owned by the original hiring manager or arise from the original vacancy. It must, however, be made with the same Referred Organisation legal entity, be a Technology Role, start during the Referral Reward Period and remain directly and predominantly attributable to the commercial relationship created by the Accepted Referral.

A placement does not qualify merely because it is made:

  • with another member of the same corporate group or a Related Entity;
  • outside any country or geographical market stated in the Referral Confirmation;
  • for a role outside the Technology Role definition;
  • under a relationship that Nonstop Talent independently established before the Referral; or
  • outside an express limitation recorded in the Referral Confirmation.

A Related Entity, additional country or non-technology hiring category is excluded unless expressly added by a written variation agreed before the relevant work begins.

Duplicate and competing Referrals

Where more than one person claims the same Referred Organisation or commercial relationship, the Reward will normally belong to the first Referrer whose Referral was accepted in writing.

Nonstop Talent may consider timing, permission, quality, genuine access, prior engagement and contemporaneous evidence. It will decide duplicate claims reasonably and in good faith. A Reward will not be divided unless Nonstop Talent and all affected Referrers agree in writing.

Activation Deadline, Referral Reward Period and Longstop Date

The Client Services Terms Signed Date must occur on or before the Activation Deadline. If it does not, the Accepted Referral lapses without Reward entitlement unless Nonstop Talent extends the Activation Deadline in writing before or after it expires.

The Referral Reward Period is a separate 12-month period beginning on the Client Services Terms Signed Date. For example, if that date is 15 August 2026, the Referral Reward Period runs from 15 August 2026 through 14 August 2027 inclusive.

Where the Referred Organisation accepts general recruitment terms covering Technology Role permanent hiring on or after the Referral was submitted, that first written acceptance starts the Referral Reward Period for the company. Where valid general recruitment terms were accepted before the Referral and remain in force, the Referral Reward Period instead starts on the post-Referral date when the Referred Organisation first gives, and Nonstop Talent accepts in writing, a Qualifying Search instruction under those existing terms. A date before the Referral was submitted cannot start the Referral Reward Period.

Where contractor terms are signed separately for each contractor and the Referral Reward Period has not already started under general recruitment terms or a post-Referral Qualifying Search instruction under existing general terms, the first written acceptance of contractor-supply or contractor-assignment terms arising from the Referral starts the Referral Reward Period. Terms signed for a second or later contractor do not restart or extend it.

To qualify for Stage Two, the Candidate or contractor must start the relevant placement during the Referral Reward Period. The permanent guarantee, 12-Paid-Week, 480-Approved-Hour or client-payment milestone may be completed after that period ends, provided the Reward becomes an Earned Reward by the Longstop Date.

A Reward that has not become an Earned Reward by the Longstop Date expires automatically. Nonstop Talent may extend the Activation Deadline, Referral Reward Period or Longstop Date by written notice. It may not shorten an existing period unless the Referrer expressly agrees in writing or the change is required because of law, fraud, illegality or a previously undisclosed conflict.

Qualifying Search requirements

10.1 Exclusive or retained search

An exclusive or retained search qualifies only where the Referred Organisation:

  1. has a live and authorised Technology Role hiring requirement;
  2. signs or validly accepts Nonstop Talent's applicable recruitment or contractor-supply terms;
  3. formally appoints Nonstop Talent on an exclusive or retained basis;
  4. gives Nonstop Talent direct access to the hiring decision-maker;
  5. completes an agreed role-definition briefing;
  6. agrees a workable interview, communication and feedback process;
  7. confirms that the person appointing Nonstop Talent has authority to do so; and
  8. discloses any existing agency commitments and agrees the candidate-ownership and duplicate-submission rules in Nonstop Talent's client terms.

General recruitment terms covering Technology Role permanent hiring need only be accepted once by the Referred Organisation. Any contractor-specific terms remain subject to the timing rules in section 9.

10.2 Priority Recovery Search

A role previously advertised or worked on by other recruiters may still qualify. It becomes a Priority Recovery Search only where the Referred Organisation:

  1. confirms that the role is live, funded and authorised to hire;
  2. signs or validly accepts Nonstop Talent's applicable terms;
  3. gives Nonstop Talent direct access to the hiring decision-maker;
  4. completes an agreed role-definition briefing that identifies why the earlier search has not succeeded;
  5. agrees a defined interview, communication and feedback process;
  6. provides a protected search period of at least 10 Business Days, or another written priority arrangement accepted by Nonstop Talent that creates meaningful first access and prevents unrestricted duplicate submissions;
  7. confirms that the person appointing Nonstop Talent has authority to do so;
  8. discloses all current and recent agency engagements relating to the role and any known prior candidate submissions;
  9. agrees the candidate-ownership, prior-introduction and duplicate-submission rules in Nonstop Talent's client terms; and
  10. does not treat Nonstop Talent merely as an additional supplier in an unrestricted multi-agency search.

Previous engagement with another recruiter does not disqualify the role. Permission to send candidates, an open agency list or a request to "send anyone suitable" does not by itself constitute a Qualifying Search.

Two-stage Referral Reward

Subject to these Terms, the maximum aggregate Reward for one Accepted Referral is NZD $2,500 including GST, if any. Stage One is payable once. A separate Stage Two Reward may be payable for each of the first three Eligible Placements.

11.1 Stage One - Qualifying Search

A Reward of NZD $250 may become payable when all of the following are satisfied:

  1. the Referred Organisation has entered into a Qualifying Search;
  2. the Qualifying Search falls within the Approved Referral Scope and the Client Services Terms Signed Date occurred on or before the Activation Deadline;
  3. Nonstop Talent has accepted the instruction and commenced substantive search work;
  4. Nonstop Talent has received and retained in cleared funds any commencement, kickoff, retainer or initial payment required for that search;
  5. the payment is not subject to an unresolved dispute, refund, credit, reversal, write-off or chargeback; and
  6. all other requirements in these Terms are satisfied.

Where the Qualifying Search does not require an upfront client payment, Stage One may be recorded provisionally but does not become an Earned Reward or become payable until the first Eligible Placement reaches Stage Two and the related Client Payment Condition is satisfied. Stage One is available only once for an Accepted Referral, regardless of the number of searches or placements.

11.2 Stage Two - first three Eligible Placements

A separate Reward of NZD $750 may become payable for each of the first three Eligible Placements arising from the Accepted Referral. Each placement must start during the Referral Reward Period and independently satisfy every applicable Stage Two condition.

The first three Eligible Placements are the first three placements, ranked by actual start date, that ultimately satisfy every Stage Two condition. A placement that fails to satisfy those conditions does not consume a Stage Two allocation. Where two or more placements have the same start date, their order is determined by the date and time the Candidate accepted the employment offer or contractor engagement, as shown in Nonstop Talent's contemporaneous records.

Permanent Placement milestone

For a Permanent Placement, Stage Two becomes eligible only when:

  1. the Candidate has started employment during the Referral Reward Period;
  2. the replacement, rebate or guarantee period under the client agreement has expired;
  3. the Candidate remains employed at the end of that period;
  4. no replacement, credit, refund, write-off, chargeback or fee dispute remains outstanding;
  5. Nonstop Talent has received and retained full cleared payment of the relevant placement fee; and
  6. all other requirements in these Terms are satisfied.

Contractor Placement milestone

For a Contractor Placement, Stage Two becomes eligible only when:

  1. the contractor has started the engagement during the Referral Reward Period;
  2. the contractor has completed at least 12 Paid Weeks with the Referred Organisation;
  3. the contractor has completed at least 480 Approved Hours;
  4. Nonstop Talent has invoiced all of those Approved Hours;
  5. Nonstop Talent has received and retained full cleared payment of every client invoice relating to those 480 Approved Hours;
  6. the engagement, hours and invoices are not cancelled, reversed, refunded, credited, written off, charged back or materially disputed; and
  7. all other requirements in these Terms are satisfied.

Both the 12-Paid-Week requirement and the 480-Approved-Hour requirement must be satisfied. Completing one without the other does not create a Reward entitlement. If the contractor leaves before the milestone, Stage Two is not payable regardless of the reason.

Maximum Reward, company cap and excluded events

The maximum aggregate Reward connected with one Accepted Referral is NZD $2,500 including GST, if any, comprising one Stage One Reward of NZD $250 and no more than three Stage Two Rewards of NZD $750 each.

Unless Nonstop Talent expressly agrees otherwise before accepting a later Referral, the aggregate maximum Reward across all Accepted Referrals concerning the same Referred Organisation legal entity is NZD $2,500 for the 12-month Referral Reward Period beginning on the earliest Client Services Terms Signed Date applying to those overlapping Referrals. A Related Entity is treated as a separate Referred Organisation unless it was expressly included in the original Referral Confirmation.

A later Referral, later search instruction, hiring-manager change, permanent vacancy, contractor agreement, extension or renewal does not restart or extend that company-level Referral Reward Period. Nonstop Talent may allocate the available cap between competing Accepted Referrals according to the order in which they were accepted, unless the relevant Referral Confirmations expressly provide otherwise.

After that company-level Referral Reward Period ends, a later introduction may create a new period only if it is genuinely new, satisfies section 6 and is expressly accepted in a new Referral Confirmation.

No Stage Two Reward is payable for a fourth or later Eligible Placement, a placement that starts outside the Referral Reward Period, a replacement supplied under a guarantee, an extension, renewal, increase in hours, transfer, re-engagement of the same person, contractor conversion, Related Entity or later commercial work unless a different arrangement was expressly agreed in writing before that event or work began.

No client payment, no Reward

Every Reward is conditional on Nonstop Talent receiving and retaining the corresponding client payment in cleared funds.

No Reward is payable to the extent that the client does not pay, pays only part, disputes the search, placement, hours or invoice, receives a refund, rebate, replacement, write-off or credit, reverses or claws back payment, becomes insolvent, or otherwise fails to provide the expected commercial value.

Nonstop Talent is not required to begin or continue debt recovery solely to create a Reward entitlement. If the client pays later, Nonstop Talent may reassess the Reward. No interest accrues on a pending, withheld or delayed Reward.

When a Reward is earned

A Reward is not earned merely because an introduction, client terms, search, placement start or contractor milestone has occurred.

A Reward becomes an Earned Reward only when:

  1. every applicable condition has been satisfied;
  2. Nonstop Talent has completed its conflict, privacy, tax and compliance checks;
  3. all required identity, approval, invoice and payment information has been supplied; and
  4. Nonstop Talent confirms Reward Approval in writing, acting reasonably.

Until written Reward Approval is issued, the Referrer has no unconditional debt claim against Nonstop Talent.

Connected Referrers, Associated Persons and procurement influence

A Referrer must disclose before acceptance every connection between the Referrer or an Associated Person and the Referred Organisation, including any current, recent or expected employment, engagement, advisory, supplier, representation, procurement, hiring or influence relationship.

A Connected Referrer and every Associated Person are ineligible for a cash payment, business credit, charitable donation or any other Reward or benefit under the programme, whether payable to the Referrer, an Associated Person, a business, the Referred Organisation or a nominated third party.

This exclusion applies even if the relationship is disclosed or the Referred Organisation is aware of the programme. Nonstop Talent may accept the introduction without a Reward and may reject or cancel a Referral where any actual, potential or perceived conflict, secret commission, improper inducement, procurement concern, reputational risk or legal risk exists.

Public-sector and regulated-organisation Referrals

No Reward or benefit of any kind will be provided in connection with a Referral made by an employee, contractor, officer, elected member, adviser or representative of a government department or agency, Crown entity, local authority, council-controlled organisation, public health organisation, state-owned enterprise, public educational institution or another organisation whose rules restrict gifts, commissions or referral payments.

Nonstop Talent may accept the introduction without a Reward, but will not substitute a charity donation, business credit or other indirect benefit for a prohibited Reward.

Referrer conduct

A Referrer must not:

  • claim to represent, work for or act as an agent of Nonstop Talent;
  • negotiate or promise fees, terms, guarantees, Candidates or outcomes on Nonstop Talent's behalf;
  • make false, misleading or unsubstantiated statements;
  • use Nonstop Talent's name, logo or materials in advertising without written approval;
  • conduct mass outreach, send spam or use purchased or scraped data in connection with the programme;
  • pressure anyone to meet or engage with Nonstop Talent;
  • submit information they know is inaccurate or incomplete;
  • interfere with Nonstop Talent's client or Candidate relationships; or
  • offer, promise or share any Reward with a client decision-maker to influence a purchasing decision.

A breach may result in rejection, cancellation of an unpaid Reward, repayment of a paid Reward and removal from the programme.

Privacy, permission and electronic communications

The Referrer must not provide another person's personal information unless that person has expressly authorised the disclosure to Nonstop Talent, the purpose of the introduction and Nonstop Talent contacting them about that introduction.

The Referrer must not submit private contact details, sensitive information, a curriculum vitae or information unrelated to the business introduction unless specifically requested and lawfully authorised.

Where required by applicable privacy law, Nonstop Talent will, as soon as reasonably practicable, take reasonable steps to notify a person whose information was collected indirectly. The notice may identify Nonstop Talent, the fact and source of collection, the purposes for which the information is collected, intended recipients, whether providing the information is voluntary or mandatory, the consequences of not providing it where relevant, and the person's access and correction rights. Nonstop Talent may record when and how that notice was given.

A declaration by the Referrer does not remove or replace Nonstop Talent's own privacy obligations. Nonstop Talent may decline to use or retain information until permission and any required notification have been verified.

A Referral does not constitute consent for unrelated marketing, newsletters or continuing commercial electronic messages. Nonstop Talent will not add the referred person to an unrelated marketing campaign solely because of the Referral.

Data security, retention and privacy incidents

Nonstop Talent will apply reasonable administrative, technical and contractual safeguards to Referral information, limit access to people who need it for the programme, and take reasonable steps to ensure service providers and overseas processors protect the information consistently with applicable law.

Nonstop Talent will maintain a designated privacy contact, reasonable access controls, administrator security, backup and deletion processes, and a privacy-incident response process. Where a breach is notifiable, Nonstop Talent will notify the Privacy Commissioner and affected individuals as soon as practicable as required by law.

Subject to legal, accounting, dispute and duplicate-prevention requirements:

  • unnecessary personal information from rejected Referrals may be deleted or de-identified after assessment;
  • Accepted Referral records may be retained through the Activation Deadline, Referral Reward Period, Longstop Date and any reasonably necessary legal or accounting period;
  • paid Reward records may be retained for tax and accounting purposes while unnecessary referral detail is removed; and
  • a minimal record may be retained to prevent duplicate, fraudulent or repeated claims.

A person may request access to or correction of their personal information through the contact details in section 34.

Electronic acceptance and programme records

Nonstop Talent may retain evidence of the Referrer's acceptance, including the submission date and time, identity and contact details, wording of declarations, applicable Terms and Privacy Policy versions, a fixed or archived copy of those versions, the Referral Confirmation, Reward Period Confirmation, Client Services Terms Signed Date, Referral Reward Period, placement start dates, conflict disclosures, approvals, milestones and payment records.

A later change to a live webpage does not alter the version governing an Accepted Referral. The version recorded in the Referral Confirmation and retained by Nonstop Talent applies unless the parties agree otherwise in writing.

Reward form

Subject to sections 15 and 16, an approved Reward for an eligible independent Referrer may be provided as:

  1. a cash payment to an eligible independent Referrer with approved New Zealand payment details;
  2. an equivalent direct donation to an approved New Zealand registered charity; or
  3. an equivalent credit against a future Nonstop Talent recruitment invoice issued to the Referrer's approved business.

The selected form remains subject to Nonstop Talent's written approval. A Reward cannot be transferred without approval.

Participation in the programme and entitlement to a Reward are not conditional on the Referrer acquiring recruitment or other services from Nonstop Talent. A business credit is only an optional form of a Reward that has already become an Earned Reward. It is not offered as an inducement for the Referrer or another person to enter into a client service agreement with Nonstop Talent.

A business credit is limited to the Earned Reward, has no cash or refund value, may only be used by the approved legal entity, applies only to a future invoice, cannot be applied to an existing debt, cannot be combined with another offer without approval and expires 12 months after issue.

A charitable donation will be paid directly by Nonstop Talent. No cash equivalent will be paid to the Referrer.

Tax and GST

All Reward amounts are in New Zealand dollars and include GST, if any.

The Referrer is responsible for their own income tax, GST, ACC, disclosure and reporting obligations. Nonstop Talent does not provide tax advice.

Before approval or payment, Nonstop Talent may require legal name, address, New Zealand bank details, GST status, NZBN, invoice or taxable-supply information, tax declarations and evidence of authority or approval. It may deduct or withhold an amount where required by law and may decline a cash payment where the required New Zealand payment or tax information is not provided.

Payment timing and forfeiture

Nonstop Talent will ordinarily process an Earned Reward within 20 Business Days after the latest of the milestone, Client Payment Condition, expiry of any guarantee period, resolution of disputes, receipt of all required information and confirmation that payment is lawful and appropriate.

The Referrer must provide requested tax, identity, approval and payment information within 60 days. If it is not supplied, Nonstop Talent may treat the Reward as forfeited after one further written notice and at least 10 Business Days to remedy the omission.

Bank processing times are outside Nonstop Talent's control. The Referrer must promptly notify Nonstop Talent if payment details change.

Fraud, error, reversal and repayment

Nonstop Talent may cancel or recover a Reward where the Referral contained materially false, misleading or incomplete information, permission was absent, a conflict was not disclosed, approval was missing, the Referral was duplicated or wrongly attributed, client payment was reversed or credited, the Reward was paid in error, the Referrer breached these Terms, or payment was unlawful or created an improper inducement.

The Referrer must repay a recoverable Reward within 10 Business Days after a written request explaining the basis. Nonstop Talent may set off the amount against another Reward, credit or payment due to that Referrer.

No employment, agency or partnership

Participation does not create employment, agency, partnership, joint venture, franchise, exclusivity, authority to bind Nonstop Talent, or an entitlement to future work or Rewards. The Referrer acts independently and is responsible for their conduct, expenses and obligations.

Confidentiality

A Referrer must keep confidential non-public information received through the Referral process concerning a Referred Organisation, hiring need, Candidate, Nonstop Talent's pricing or margins, placement status, negotiations or personal information.

This does not apply to information already public through no breach, lawfully known, lawfully received from another source or required to be disclosed by law.

Commercial decisions and no duty to pursue

Nonstop Talent is not required to contact or continue dealing with a referred person, accept the organisation as a client, accept or continue an instruction, introduce or place a Candidate, maximise fees, pursue debt recovery, reject a commercially appropriate settlement or structure an engagement so that a Reward milestone will be achieved.

Nonstop Talent may make legitimate commercial decisions that reduce or eliminate a potential Reward, but must not act for the sole dominant purpose of improperly avoiding an Earned Reward.

Programme changes, suspension and closure

Nonstop Talent may amend, suspend or close the programme by publishing updated Terms. Changes apply prospectively from the stated effective date. An Accepted Referral ordinarily continues under the version in effect when accepted, together with its Referral Confirmation and Reward Period Confirmation.

A change will not reduce an Earned Reward. Nonstop Talent may suspend assessment or payment while reasonably investigating fraud, duplication, privacy, conflict, sanctions, tax, payment or legal concerns.

A change that shortens a period, reduces a maximum potential Reward or otherwise materially disadvantages an existing Accepted Referral applies only if the Referrer expressly agrees in writing, or where the change is required by law or necessary because of fraud, illegality or a previously undisclosed conflict.

Records, decisions and disputes

Nonstop Talent will determine eligibility, scope, attribution, duplicate claims, milestone completion and Reward approval reasonably, consistently and in good faith.

Where reasonably practicable, Nonstop Talent will provide a brief explanation of an adverse decision and allow at least 10 Business Days to correct missing or incomplete information before final forfeiture. It is not required to disclose privileged, confidential, commercially sensitive or personal information.

Absent manifest error, Nonstop Talent's contemporaneous CRM, email, client, timesheet, invoicing and payment records are prima facie evidence of relevant dates, instructions, hours, payments, credits and calculations. The Referrer has no audit right, but Nonstop Talent may provide a reasonable summary of a calculation.

A Referrer who disputes a decision should contact Nonstop Talent in writing within 60 days and provide supporting information. Nonstop Talent may consider a later notice where the delay is reasonable and causes no material prejudice. The parties will first attempt good-faith resolution. If unresolved within 20 Business Days, either may propose mediation in Auckland before court proceedings. Urgent interim relief and recovery of undisputed debt remain available.

Referrer indemnity

To the extent caused or contributed to by the Referrer's act, omission or breach, the Referrer indemnifies Nonstop Talent Limited and its directors, employees and contractors against reasonably incurred losses, liabilities, penalties, claims, damages and legal or professional costs connected with:

  • a breach of these Terms;
  • false, inaccurate, incomplete or misleading information;
  • a lack of authority, permission or consent;
  • an undisclosed conflict of interest;
  • an alleged secret commission, improper inducement, bribery or procurement breach;
  • an unlawful collection, use or disclosure of personal information;
  • spam or unlawful electronic communications;
  • an unauthorised representation by the Referrer; or
  • the Referrer's tax, GST, ACC or reporting obligations.

This indemnity is continuing, survives expiry or termination and is not limited by Nonstop Talent's liability cap. Nonstop Talent will take reasonable steps to mitigate recoverable loss and, where practicable, notify the Referrer of a material third-party claim. The indemnity does not apply to the extent the loss was caused by Nonstop Talent's fraud, deliberate misconduct or breach of law.

Liability

To the maximum extent permitted by law:

  • Nonstop Talent is not liable for loss of profit, revenue, opportunity, anticipated Reward, goodwill, reputation or indirect, consequential, exemplary, special or punitive loss;
  • Nonstop Talent does not guarantee that a Referral will lead to a meeting, engagement, search, placement or Reward;
  • Nonstop Talent is not liable for the conduct, insolvency, default or decisions of a Referred Organisation, Candidate, bank or third party; and
  • Nonstop Talent's total aggregate liability relating to an Accepted Referral will not exceed the Earned Reward actually payable for that Accepted Referral.

Nothing excludes or limits liability that cannot lawfully be excluded or limited. The Referrer's repayment obligations and indemnities are not limited by this section.

General provisions

If a provision is invalid or unenforceable, it will be read down to the minimum extent necessary and the remaining provisions continue. A delay in enforcing a right is not a waiver, and a waiver must be in writing.

The Referrer may not assign or transfer a Referral, Reward or right without Nonstop Talent's written approval.

These Terms, the Referral Confirmation, the Reward Period Confirmation and any written variation form the entire agreement concerning the Reward. If inconsistent, a written variation expressly agreed by both Nonstop Talent and the Referrer prevails, then the Referral Confirmation or Reward Period Confirmation, then these Terms.

Nonstop Talent may extend a time period or waive a requirement in the Referrer's favour by written notice without requiring the Referrer's counter-signature. Any other material variation requires express written agreement by both parties.

Headings are for convenience. Writing includes retained electronic communications. "Including" does not limit the words that follow it.

Governing law and jurisdiction

These Terms are governed by New Zealand law. The parties submit to the exclusive jurisdiction of the New Zealand courts, except that Nonstop Talent may seek urgent interim or enforcement relief elsewhere where reasonably necessary.

Plain-English summary

The practical shape of the programme.

  • A name or contact detail is not enough. The introduction must create genuine new access, ordinarily through a warm introduction, and be accepted by Nonstop Talent in writing.
  • The programme is company-term based. Unless expressly narrowed, the confirmed scope covers Technology Roles across hiring managers and business units within the named legal entity. A Related Entity is separate unless expressly included.
  • The maximum Reward is NZD $2,500 including GST, if any: up to NZD $250 once when a Qualifying Search reaches Stage One, plus NZD $750 for each of the first three Eligible Placements that reaches Stage Two.
  • The 12-month Referral Reward Period begins on the first qualifying post-Referral company engagement date. A date before the Referral was submitted cannot start the period.
  • Later vacancies, hiring-manager changes or contractor agreements do not restart the 12-month period. Each qualifying Candidate or contractor must start during that period.
  • For a Permanent Placement, the guarantee period must expire, the Candidate must remain employed and the fee must be paid.
  • For a Contractor Placement, both 12 Paid Weeks and 480 Approved Hours must be completed, invoiced and fully paid.
  • A placement that fails its Stage Two conditions does not use one of the three placement allocations. A fourth or later Eligible Placement, replacement under guarantee, extension, conversion or re-engagement does not create a further Reward unless agreed in writing beforehand.
  • Participation is not conditional on buying services from Nonstop Talent. A business credit is only an optional form of an already Earned Reward.
  • Connected Referrers, their Associated Persons and public-sector representatives are not eligible for any Reward or indirect substitute benefit.
  • The Referrer must have permission, disclose conflicts and comply with applicable rules. The full Terms prevail over any promotional summary.
